Terms of Use

1. Nature of the Platform

StoXify is a technology marketplace that connects retail investors with independent, SEBI-registered Research Analysts ("Analysts"). StoXify is only a technology service provider and is not a stock broker, investment adviser, portfolio manager, or research analyst, and is not registered with SEBI as an intermediary of any kind.

StoXify does not itself provide, review, endorse, or take responsibility for the content, accuracy, or suitability of any trade recommendation published by an Analyst. Each Analyst is independently and separately registered with SEBI and is solely responsible for the research and recommendations they publish.

StoXify facilitates discovery, subscription management, billing, and delivery of Analyst content, and is not itself a party to the advisory relationship between an Analyst and a User.

2. Eligibility

• You must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872
• You must be a resident of India, or otherwise permitted to use the Platform under applicable law
• You must provide accurate and complete registration information and keep it up to date

3. Account Registration and KYC

Registration requires a valid email address and phone number, verified by OTP. Know-Your-Customer (KYC) verification via DigiLocker is required only to enable delivery of trade alerts, and is not required to browse Analyst profiles, subscribe to a plan, or complete payment. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Subscriptions and Payments

4.1 Prepaid, upfront billing

All subscription plans are prepaid in full at the time of purchase. There are no installment, pay-later, or deferred payment options.

4.2 No refunds, no cancellations, no proration

Once a subscription payment is made, it is final. StoXify does not offer refunds, mid-term cancellations, or pro-rated adjustments for any reason, including partial use, dissatisfaction with Analyst performance, or early discontinuation by the User.

The only exception is a verified technical or billing error (e.g. duplicate charge) attributable to StoXify or its payment partner, which will be corrected per our Refund & Cancellation Policy.

4.3 Queue-next changes

You may set, change, or remove a queued (next) plan at any time during an active subscription at no additional charge. Queued plan changes take effect, and are charged, only upon expiry of your current subscription.

4.4 Subscription status

A subscription is either ACTIVE or EXPIRED. There is no automatic renewal without a queued plan in place; an expired subscription with no queued plan simply ends.

5. Trade Alerts and Content

Trade recommendations, targets, stop-losses, and rationale published on the Platform are the independent professional views of the publishing Analyst and do not represent the views, advice, or recommendations of StoXify.

StoXify verifies that an Analyst holds a valid, current SEBI Research Analyst registration before onboarding, but does not vet, edit, or guarantee the accuracy, completeness, or profitability of any individual recommendation. See our Risk Disclosure & Disclaimer for full detail.

All trade lifecycle events (creation, modification, target/stop-loss hits, closure) are published in full, without filtering, for every trade you are subscribed to.

6. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of these Terms
• Attempt to reverse-engineer, scrape, or circumvent Platform security measures
• Share your account credentials or resell/redistribute Analyst content without authorisation
• Impersonate any person or entity, or misrepresent your affiliation
• Upload or transmit malicious code or interfere with Platform operation

7. Intellectual Property

The Platform, including its software, design, trademarks (including the "StoXify" name and logo), and underlying technology, is the exclusive property of Stoxify Private Limited or its licensors. Analyst content remains the intellectual property of the respective Analyst, licensed to StoXify solely for the purpose of delivery to subscribers.

8. Analyst Independence

Analysts are independent, third-party SEBI-registered professionals. They are not employees, agents, or representatives of StoXify, and StoXify does not direct, control, or supervise the substance of their research or recommendations.

9. Limitation of Liability

To the maximum extent permitted by law, StoXify, its directors, officers, and employees shall not be liable for any direct, indirect, incidental, consequential, or special damages, including trading losses, arising from your use of the Platform or reliance on any Analyst's content. The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.

10. Indemnification

You agree to indemnify and hold StoXify harmless from any claims, losses, or expenses arising from your breach of these Terms or your misuse of the Platform.

11. Suspension and Termination

StoXify may suspend or terminate your account for violation of these Terms, suspicious or fraudulent activity, or as required by law or regulatory direction. You may stop using the Platform at any time; this does not entitle you to a refund of prepaid amounts except as set out in Section 4.2.

12. Grievance Redressal

Grievances relating to the Platform (as distinct from grievances against a specific Analyst's SEBI-regulated conduct, which should also be raised via SEBI SCORES) may be raised with our Grievance Officer as set out in our Privacy Policy and Grievance Redressal Policy.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts at Ghaziabad, Uttar Pradesh, following a good-faith attempt at negotiated resolution.

14. Force Majeure

StoXify shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including acts of God, fire, flood, natural disaster, war, civil unrest, strikes, government action, epidemic or pandemic, power or telecommunications failure, or failure of a third-party vendor (including market data, payment, or notification providers).

15. Assignment

You may not assign or transfer your rights or obligations under these Terms without StoXify's prior written consent. StoXify may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

16. Waiver

No failure or delay by StoXify in exercising any right under these Terms shall operate as a waiver of that right, nor shall any single or partial exercise of a right preclude any other or further exercise of that or any other right.

17. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the parties' intent, and the remaining provisions shall continue in full force and effect.

18. Survival

Provisions which by their nature are intended to survive termination of these Terms — including Intellectual Property, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and this Section — shall survive any termination or expiry of your account or these Terms.

19. Entire Agreement

These Terms, together with our Privacy Policy, Risk Disclosure & Disclaimer, and Refund & Cancellation Policy, constitute the entire agreement between you and StoXify regarding use of the Platform, and supersede any prior agreements or understandings, whether written or oral, on the subject.

20. Amendments

We may revise these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
